What Qualifies as an MSME in India

The MSMED Act (Micro, Small and Medium Enterprises Development Act, 2006) defines MSMEs based on investment in plant and machinery or equipment, and annual turnover.

Micro Enterprise

Investment up to Rs. 1 crore AND turnover up to Rs. 5 crore.

Small Enterprise

Investment up to Rs. 10 crore AND turnover up to Rs. 50 crore.

Medium Enterprise

Investment up to Rs. 50 crore AND turnover up to Rs. 250 crore.

Both the investment AND the turnover criteria must be satisfied. If either exceeds the threshold, the business moves into the next category.

Both manufacturing and service businesses are eligible for MSME registration.

Where to Register: The Udyam Portal

All MSME registration is done through the Udyam Registration portal. This replaced the older Udyog Aadhar system in July 2020.

Registration is:

  • Completely online
  • Free of charge (no government fee)
  • Based on self-declaration
  • Linked to PAN and Aadhaar for automatic verification
  • Paperless (no document upload required for most applicants)

The registration is permanent. There is no renewal. If your business grows and crosses the MSME threshold, you must update your information on the portal, but the registration itself does not expire.

The Benefits of MSME Registration Online

Priority Sector Lending

Banks are mandated by the Reserve Bank of India to lend a specified proportion of their credit portfolio to the MSME sector. Registered MSMEs get easier access to business loans, working capital loans, and credit guarantees under the CGTMSE (Credit Guarantee Fund Trust for Micro and Small Enterprises) scheme.

Lower Interest Rates

Many government schemes and bank products offer interest rate subventions (subsidies) of 1% to 2% to Udyam-registered businesses. Over a multi-year loan, this is a meaningful saving.

Protection Against Delayed Payments

Section 15 of the MSMED Act requires buyers to pay MSME suppliers within 45 days of accepting goods or services. If payment is delayed beyond this, the buyer owes compound interest at three times the bank rate notified by the RBI. MSME-registered businesses can file complaints through the MSME Samadhaan portal for unresolved delayed payments.

Government Tender Preferences

Public procurement policy reserves certain tenders for MSMEs, waives earnest money deposit requirements for Udyam-registered businesses, and provides purchase preference in some categories.

Collateral-Free Loans

Under the CGTMSE scheme, loans up to Rs. 5 crore are available to Udyam-registered micro and small enterprises without the requirement of collateral or third-party guarantee.

Subsidies and Scheme Access

Registered MSMEs are eligible for:

  • Technology Upgradation Fund Scheme (TUFS)
  • Credit Linked Capital Subsidy Scheme (CLCSS)
  • ZED (Zero Defect Zero Effect) certification support
  • ISO certification reimbursement schemes

Income Tax and Direct Tax Benefits

Certain tax schemes and deductions are easier to access with Udyam registration. Businesses in eligible sectors with MSME registration also benefit from easier access to the 80-IAC tax exemption scheme for startups, where applicable.

What You Need Before Applying

The Udyam registration process is genuinely simple, but you need the following in place:

  • Aadhaar number of the proprietor, partner, or director (based on entity type)
  • PAN of the business entity
  • GSTIN (if applicable based on turnover)
  • Bank account details of the business
  • Details of investment in plant and machinery or equipment
  • The previous year's annual turnover figure

For partnership firms, LLPs, and companies, the authorised signatory's Aadhaar and the entity's PAN are used. The system verifies PAN and GSTIN data automatically through linkage with income tax and GST databases.

The Registration Process Step by Step

  1. Visit udyamregistration.gov.in
  2. Select "New Entrepreneurs who are not Registered yet as MSME" or "Re-register Udyog Aadhar Memorandum" if you have an old registration
  3. Enter the Aadhaar number and name of the applicant, and validate with OTP
  4. PAN verification page: Enter business PAN and validate
  5. Fill in the enterprise details: business name, type, address, bank details, NIC code for business activity, investment in plant and machinery, and annual turnover
  6. Submit and receive the Udyam Registration Number and Certificate

The certificate is issued immediately upon submission and can be downloaded from the portal. It carries a unique Udyam Registration Number (URN) that is used for all scheme applications and bank submissions.

Common Questions

Is MSME registration mandatory?

No, MSME registration through the Udyam portal is voluntary. However, without it, businesses cannot access MSME-specific schemes, loans, and protections under the MSMED Act. Given that it is free and instant, there is no practical reason to avoid it.

Can a company that has been operating for years register as an MSME now?

Yes. There is no restriction on when you register. As long as your current investment and turnover fall within the MSME thresholds, you can register at any time.

What happens if my business outgrows the MSME threshold?

You must update your information on the Udyam portal within the year in which the turnover or investment crosses the threshold. The business will be reclassified upward, and access to some MSME-specific schemes may change.

Can an LLP or private limited company register as an MSME?

Yes. All business entities, including sole proprietorships, partnership firms, LLPs, and private limited companies, are eligible to register as MSMEs on the Udyam portal.

Is there a separate MSME registration for manufacturing and service businesses?

No. The Udyam portal covers both manufacturing and service enterprises under the same registration system. The NIC code entered during registration distinguishes between manufacturing and service activities.

Does Udyam registration replace the older Udyog Aadhar registration?

Yes. The government migrated from Udyog Aadhar to the Udyam system in July 2020. Businesses with existing Udyog Aadhar registrations were required to re-register on the Udyam portal. Udyog Aadhar registrations are no longer valid.
